Welcome to StaffTraq. These Terms of Service ("Terms") govern your access to and use of StaffTraq's employee scheduling platform, including our website, applications, and services (collectively, the "Service").
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.
1. Definitions
- "Organization" means a business or entity that subscribes to StaffTraq to manage employee scheduling.
- "Administrator" means a user with owner or admin privileges within an Organization.
- "Member" means any user (employee, manager, admin, or owner) associated with an Organization.
- "Customer Data" means any data uploaded, submitted, or otherwise transmitted by users through the Service.
2. Account Terms
2.1 Account Creation
To use StaffTraq, you must:
- Be at least 16 years old
- Provide accurate and complete registration information
- Maintain the security of your account credentials
- Notify us immediately of any unauthorized access
2.2 Organization Accounts
When you create an Organization, you represent that you have the authority to bind that entity to these Terms. The Organization owner is responsible for all activity within the Organization.
2.3 Account Security
You are responsible for safeguarding your login credentials and for all activities that occur under your account. StaffTraq is not liable for any loss or damage arising from your failure to protect your account.
3. Acceptable Use
3.1 Permitted Use
You may use StaffTraq only for lawful purposes and in accordance with these Terms.
3.2 Prohibited Activities
You agree not to:
- Violate any applicable laws or regulations
- Infringe on the intellectual property rights of others
- Upload malicious code, viruses, or harmful content
- Attempt to gain unauthorized access to our systems
- Interfere with or disrupt the Service or servers
- Use the Service to send spam or unsolicited communications
- Impersonate another person or entity
- Use automated tools (bots, scrapers) without our permission
- Resell, sublicense, or redistribute the Service without authorization
- Use the Service to discriminate against employees based on protected characteristics
3.3 Content Standards
Any content you upload, including messages, files, and profile information, must not be illegal, offensive, defamatory, or violate the rights of others.
4. Data Ownership
4.1 Your Data
You own your data. Customer Data remains the property of the Organization that uploaded it. StaffTraq does not claim ownership of any Customer Data.
4.2 License to StaffTraq
By using the Service, you grant StaffTraq a limited, non-exclusive license to use, store, and process Customer Data solely to provide the Service. This license terminates when you delete the data or close your account.
4.3 Data Portability
You may export your data at any time through the Service. We provide data export in standard formats (JSON, CSV) to facilitate portability.
4.4 Data Retention
We retain Customer Data in accordance with our Privacy Policy and applicable legal requirements. When you delete your account or Organization, we will delete your data except as required by law (e.g., payroll records for tax purposes).
5. Service Availability
5.1 "As Is" Basis
The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee that the Service will be uninterrupted, secure, or error-free.
5.2 Scheduled Maintenance
We may temporarily suspend the Service for maintenance. We will provide reasonable notice when possible, but emergency maintenance may occur without prior notice.
5.3 Service Modifications
We reserve the right to modify, suspend, or discontinue any part of the Service at any time. We will provide reasonable notice of material changes that affect your use.
6. Payment Terms
6.1 Subscription Fees
StaffTraq offers paid subscription plans. By subscribing, you agree to pay the applicable fees. All payments are processed through Stripe.
6.2 Billing Cycle
Subscriptions are billed in advance on a monthly or annual basis, depending on your plan. Fees are non-refundable except as required by law.
6.3 Price Changes
We may change our prices with 30 days' notice. Price changes will take effect at the start of your next billing cycle.
6.4 Taxes
Fees are exclusive of applicable taxes. You are responsible for paying any taxes associated with your use of the Service.
7. Intellectual Property
7.1 Our Intellectual Property
StaffTraq, including its logos, software, design, and content, is owned by StaffTraq and protected by intellectual property laws. You may not copy, modify, or distribute our intellectual property without permission.
7.2 Feedback
If you provide suggestions, ideas, or feedback about the Service, you grant us a perpetual, royalty-free license to use that feedback without obligation to you.
8. Limitation of Liability
8.1 Disclaimer
TO THE MAXIMUM EXTENT PERMITTED BY LAW, STAFFTRAQ AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or business opportunities
- Service interruptions or data loss
- Actions of third parties
8.2 Liability Cap
In no event shall StaffTraq's total liability exceed the greater of (a) the amount you paid us in the 12 months prior to the claim, or (b) $100 CAD.
8.3 Basis of the Bargain
These limitations reflect a reasonable allocation of risk and form an essential basis of the agreement between you and StaffTraq.
9. Indemnification
You agree to indemnify, defend, and hold harmless StaffTraq and its affiliates from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any third-party rights
- Customer Data you upload or transmit
10. Termination
10.1 Termination by You
You may cancel your account at any time through the Service settings. Upon cancellation, your subscription will end at the conclusion of the current billing period.
10.2 Termination by StaffTraq
We may suspend or terminate your account if you breach these Terms or engage in prohibited activities. We will provide notice unless immediate action is necessary to protect the Service or other users.
10.3 Effect of Termination
Upon termination:
- Your right to use the Service ceases immediately
- You may export your data within 30 days (unless terminated for cause)
- We will delete your data in accordance with our Privacy Policy
- Provisions that should survive termination will remain in effect
11. Dispute Resolution
11.1 Governing Law
These Terms are governed by the laws of the Province of Alberta, Canada, without regard to conflict of law principles.
11.2 Informal Resolution
Before initiating formal proceedings, you agree to contact us at legal@stafftraq.com to attempt to resolve disputes informally.
11.3 Jurisdiction
Any legal action arising from these Terms shall be brought exclusively in the courts of Alberta, Canada. You consent to the personal jurisdiction of such courts.
12. General Provisions
12.1 Entire Agreement
These Terms, together with our Privacy Policy and any additional terms for specific features, constitute the entire agreement between you and StaffTraq.
12.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
12.3 Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
12.4 Assignment
You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
12.5 Notices
We may provide notices through the Service, by email, or by posting on our website. You are responsible for ensuring your contact information is current.
13. Changes to These Terms
We may modify these Terms at any time. We will provide notice of material changes by posting the updated Terms and updating the "Last Updated" date. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
